3. Intellectual Property

All content on this website — including text, graphics, logos, icons, images, code, and the overall design — is the intellectual property of Northstar Digital and is protected by applicable copyright and trademark laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from this website without our prior written consent.

Ownership of work product created during client engagements will be governed by the terms of the applicable project agreement. Unless otherwise specified in writing, intellectual property rights for custom work transfer to the client upon full payment.

4. Limitation of Liability

To the maximum extent permitted by applicable law, Northstar Digital and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, data, or business opportunities
• Service interruptions or downtime
• Errors or inaccuracies in content
• Damages resulting from unauthorized access to your data

Our total liability for any claim arising from or related to our services shall not exceed the total amount paid by you to Northstar Digital in the twelve (12) months preceding the claim. This website and its content are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

5. Payment Terms

Payment terms for services will be outlined in the applicable project agreement or statement of work. General terms include:

• Invoices are due within 30 days of issuance unless otherwise agreed upon in writing
• A deposit may be required before work commences, as specified in the project agreement
• Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower
• We reserve the right to suspend or terminate services for accounts with outstanding balances exceeding 60 days past due

All fees are exclusive of applicable taxes, which are the responsibility of the client.

6. Termination

Either party may terminate a service engagement as follows:

• By the Client: You may terminate services by providing written notice. You will be responsible for payment of all work completed up to the date of termination.
• By Northstar Digital: We may terminate or suspend services if you breach these Terms, fail to make timely payments, or for any other reason with reasonable written notice.

Upon termination, we will deliver all completed work product for which payment has been received. Any provisions of these Terms that by their nature should survive termination shall remain in effect, including intellectual property, limitation of liability, and governing law provisions.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Northstar Digital operates, without regard to conflict of law principles. Any disputes arising from or related to these Terms or our services shall be resolved through good-faith negotiation. If a resolution cannot be reached, the dispute shall be submitted to binding arbitration in accordance with applicable arbitration rules. You agree that any legal action or proceeding shall be brought exclusively in the courts of competent jurisdiction.

8. Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. Material changes will be posted on this page with an updated "Last Updated" date.
